Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your use of the Restana platform (“Service”), operated by the company behind the Restana brand (“we”, “us”, “our”), available at restana.io. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Service Description

Restana is a cloud-based software-as-a-service (SaaS) platform for leave management, time tracking, and team management insights. The Service includes, but is not limited to:

• Leave request submission, approval, and tracking
• Clock in/out time tracking and timesheet management
• Team wallchart and calendar views
• Management insights and absence pattern reporting (Ana)
• Multi-level approval workflows
• Slack and Microsoft Teams integrations
• CSV import/export and payroll reporting
• Recognition, rewards, and training tracking

3. Account Responsibilities

When you register for Restana, you agree to:

• Provide accurate, current, and complete information during registration
• Keep your login credentials secure and confidential — you are responsible for all activity under your account
• Notify us immediately at support@restana.io if you suspect unauthorised access to your account
• Ensure that your use of the Service complies with all applicable laws and regulations
• Not use the Service for any unlawful purpose or in a way that could damage, disable, or impair the Service

The person who creates the organisation account (“Account Owner”) is responsible for managing users, permissions, and billing within that organisation.

4. Pricing and Billing

• Pricing: The Service is priced at £1 per user per month. All features are included — there are no tiers, add-ons, or feature gating.
• Free trial: New accounts receive a 14-day free trial. No credit card is required to start a trial.
• Billing cycle: Subscriptions are billed monthly in arrears based on the number of active users during the billing period.
• Payment processor: All payments are processed securely through Stripe. We do not store your full card details on our servers.
• Price changes: We will provide at least 30 days’ notice before any price increases, via email to the Account Owner.
• VAT: Prices are exclusive of VAT where applicable. VAT will be added at the prevailing UK rate.

5. Data Ownership

Your data belongs to you. You retain all rights, title, and interest in the data you and your team submit to Restana (“Customer Data”).

• We will not sell, rent, or share your Customer Data with third parties, except as required to provide the Service (see our Privacy Policy)
• We will not use your Customer Data for advertising, profiling, or any purpose unrelated to providing the Service
• You may export your data at any time via the CSV export functionality within the application
• You grant us a limited licence to process your Customer Data solely for the purpose of operating and improving the Service

6. Service Availability

We use reasonable efforts to maintain the availability, performance, and reliability of the Service. However:

• The Service is provided on an “as is” and “as available” basis
• We do not guarantee uninterrupted or error-free access, and we do not offer a formal Service Level Agreement (SLA)
• Planned maintenance will be communicated in advance where reasonably possible
• We are not liable for downtime caused by third-party providers, force majeure events, or circumstances beyond our reasonable control

7. Acceptable Use

You agree not to:

• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Use automated tools (bots, scrapers) to access the Service without our prior written consent
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorised access to other users’ accounts or data
• Upload content that is malicious, defamatory, or violates any applicable law
• Resell, sublicense, or redistribute access to the Service without our consent

8. Intellectual Property

All intellectual property rights in the Service (including but not limited to the software, design, branding, logos, and documentation) belong to us or our licensors. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as described herein.

9. Termination

Either party may terminate the subscription:

• You may cancel your subscription at any time from your account settings. Your account will remain active until the end of the current billing period.
• We may suspend or terminate your account if you breach these Terms, fail to pay outstanding invoices after reasonable notice, or engage in activity that threatens the security of the Service.

After termination:

• You will have 90 days from the date of termination to export your data using the built-in CSV export tools
• After the 90-day export window, your data will be permanently deleted in accordance with our Privacy Policy
• We may retain anonymised, aggregated data that cannot be used to identify you or your employees

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity
• We are not liable for decisions made by you or your organisation based on data, reports, or insights generated by the Service (including Ana)

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Warranties and Disclaimers

We warrant that we will provide the Service with reasonable skill and care. However:

• We do not warrant that the Service will be uninterrupted, error-free, or completely secure
• Management insights and reports generated by Ana are based on pattern detection and rules-based analysis — they are advisory and should not be treated as legal, HR, or medical advice
• All other warranties, whether express or implied (including implied warranties of merchantability and fitness for a particular purpose), are excluded to the fullest extent permitted by law

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or any violation of applicable law by you or your users.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance via email to the Account Owner. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you may terminate your account before they come into effect.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Restana regarding the use of the Service, and supersede all prior agreements, representations, and understandings.
